1. Agreement to Terms
By accessing or using the website scaffoldbookkeeping.com and/or engaging Scaffold ("Company," "we," "us," or "our") for bookkeeping services, you ("Client," "you," or "your") agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.
2. Services
Scaffold provides bookkeeping and financial record-keeping services to construction and trades businesses, including but not limited to:
- Monthly bookkeeping
- Payroll processing
- Job costing and project accounting
- Accounts payable and accounts receivable management
- Cleanup and catch-up bookkeeping
- Sales tax and state filing assistance
- QuickBooks setup and support
We are not a certified public accounting (CPA) firm and do not provide audit, attest, tax preparation, or legal services. Our services are limited to bookkeeping and financial record-keeping.
3. Client Responsibilities
You agree to:
- Provide timely, accurate, and complete financial records and documentation
- Grant reasonable access to accounting software and banking platforms as needed
- Respond promptly to requests for information or clarification
- Maintain the confidentiality of login credentials shared with us
Delays or inaccuracies in information provided may affect the timeliness and accuracy of our deliverables.
4. Fees and Payment
Service fees will be outlined in a separate engagement letter or proposal provided to you prior to commencement of services. Unless otherwise agreed:
- Invoices are issued monthly and are due upon receipt
- Late payments may incur a fee of 1.5% per month on outstanding balances
- We reserve the right to suspend services for accounts more than 30 days past due
5. Confidentiality
We will treat all financial information and business records you provide as confidential. We will not disclose your information to third parties except as required to perform our services, comply with applicable law, or as authorized by you in writing.
6. Limitation of Liability
To the maximum extent permitted by Washington State law, Scaffold shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our services, regardless of whether such damages are based on contract, tort, strict liability, or any other theory.
Our total aggregate liability for any claims arising from our services shall not exceed the total fees paid by you to us during the three (3) months immediately preceding the event giving rise to the claim.
7. Disclaimer of Warranties
Our services are provided "as is" and "as available." We make no warranties, express or implied, regarding the accuracy, completeness, or reliability of our work product to the extent it relies on information provided by you. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the extent permitted by law.
8. Term and Termination
Either party may terminate the service relationship with thirty (30) days' written notice. Upon termination:
- All outstanding fees through the termination date are due and payable
- We will return or provide access to your financial records within a reasonable timeframe
- Confidentiality obligations survive termination
9. Intellectual Property
All content on scaffoldbookkeeping.com, including text, graphics, logos, and design, is the property of Scaffold and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.
10. Indemnification
You agree to indemnify and hold harmless Scaffold, its owners, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your negligence, or the inaccuracy of information you provide.
11. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Washington, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in King County, Washington.
12. Modifications
We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last Updated" date. Continued use of our website or services constitutes acceptance of the modified Terms.
13. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
